Terms of Service
These terms govern your use of BoomCloud Apps Inc. software, websites and related services.

1. Agreement
By creating an account, starting a trial, or using BoomCloud you agree to these terms on behalf of yourself and the practice you represent. If you do not agree, do not use the service.
2. The service
BoomCloud provides software for building and administering in-house patient membership plans: plan design, enrollment, recurring billing, member management and reporting. We are a software provider. We are not an insurer, a third-party administrator, or a provider of dental, medical or veterinary care.
3. Fees
Subscriptions are billed as a monthly software fee plus a per-active-member fee, at the rates shown on our pricing page or in your order form. Per-member fees are calculated on the number of active members at the close of each billing cycle.
Fees are billed in advance, are non-refundable except where required by law, and may change on 30 days' written notice.
4. Payment processing
Membership payments from your patients are processed by third-party payment processors under their own terms. You are responsible for the accuracy of the plans, prices and terms you publish to your patients, and for honoring the benefits you offer them.
5. Your data and your patients' data
You retain ownership of the data you and your members put into BoomCloud. We process it to provide the service, as described in our privacy policy. Where we handle protected health information on your behalf, we do so under a business associate agreement.
6. Acceptable use
You may not use BoomCloud to market plans that misrepresent coverage, to violate healthcare advertising or dental practice-act rules in your state, to send unlawful communications, or to reverse engineer, resell or overload the service.
7. Cancellation
Either party may cancel at the end of a billing cycle. On cancellation you may export your member data for 30 days, after which it is deleted from active systems in the ordinary course.
8. Warranties and liability
The service is provided "as is." To the maximum extent permitted by law our total liability for any claim is limited to the fees you paid in the twelve months before the claim, and we are not liable for indirect or consequential losses, including lost revenue.
9. Governing law
These terms are governed by the laws of the State of Utah, without regard to conflict of law rules. Disputes are resolved in the state or federal courts located in Utah.
